Terms of Service

By accessing or using the Collective Agents website, marketplace, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms apply to all visitors, members, and customers.

Collective Agents is a Toronto-based AI agency that designs and deploys custom automation systems, AI agents, and related digital services for businesses. We also operate an invite-only marketplace offering AI tools, SEO packages, and digital marketing products. References to "we," "us," or "our" mean Collective Agents.

Access to our marketplace and member-only content requires a valid invite code issued by us. Membership is granted at our sole discretion following a review of your application. Invite codes are personal and non-transferable; sharing or reselling your code is prohibited. We reserve the right to revoke or restrict access at any time, with or without notice, including for violation of these Terms. There is no obligation to approve any application.

All purchases are processed through Stripe, our third-party payment processor. By completing a purchase, you authorize us to charge the amount displayed at checkout. Prices are listed in USD unless stated otherwise. We reserve the right to change prices at any time; changes will not affect orders already completed. You are responsible for any taxes applicable to your purchase.

All sales of digital products (AI tools, SEO packages, access credentials, and other downloadable or immediately-accessible items) are final and non-refundable. For service engagements involving custom development or consulting, a refund may be considered if requested in writing before any work commences. No refund will be issued once delivery or development has begun, regardless of the stage of completion. If you believe a transaction was made in error, contact us at hello@collectiveagents.ai within 48 hours of purchase. Initiating a chargeback without first contacting us may result in permanent termination of your account.

Digital products and access credentials are typically delivered within 1–3 business days of confirmed payment. Custom service engagements are individually scoped and scheduled; timelines will be agreed in writing before work commences. Delivery estimates stated in product listings are estimates only and are not guaranteed. We are not liable for delays caused by circumstances outside our control.

AI tools and automation systems produce outputs that vary based on input quality, configuration, and context. Results are not guaranteed and may differ materially from examples shown. We do not warrant that AI outputs will be accurate, complete, or fit for any particular purpose. You are solely responsible for reviewing AI-generated content before acting on it. We are not liable for any decisions, losses, or consequences arising from reliance on AI outputs.

You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable law; (b) resell, redistribute, or sublicense purchased digital products without our prior written consent; (c) attempt to reverse-engineer, decompile, or extract proprietary code or models from delivered systems; (d) use the Services to generate spam, malware, phishing content, or material that violates third-party rights; (e) interfere with or disrupt the integrity of the Services or underlying infrastructure; (f) create accounts on behalf of others without authorization. Violation of this section may result in immediate account termination.

All proprietary tooling, templates, models, codebases, and documentation we create remain our intellectual property unless a separate written agreement states otherwise. For custom client engagements, ownership of the final deliverables transfers to you upon receipt of full payment, subject to any third-party licences embedded in the work (e.g., open-source libraries, API-hosted models). Our brand, name, and website content are protected by copyright and may not be reproduced without permission.

To the maximum extent permitted by applicable law, Collective Agents and its employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability for any claim relating to these Terms or the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Collective Agents, its employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) content or data you submit through the Services.

We may suspend or permanently terminate your access to the Services at any time, without notice, for conduct that we determine, in our sole judgment, is harmful to other users, us, third parties, or the integrity of the Services. Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 10, 11, and 13) will continue to apply.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any dispute arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada. Before initiating formal legal proceedings, you agree to contact us at hello@collectiveagents.ai to attempt resolution in good faith.

We may update these Terms at any time. The revised Terms will be posted at this URL with an updated "Last updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with a change, you must stop using the Services.
